Terms of Service

These Terms govern access to and use of CIMSNEX – Management System Operating Infrastructure and related services provided by Andy Systems.
1. Service Description
CIMSNEX is a subscription-based governance infrastructure platform designed to operationalize integrated management systems.
It is not certification software. It is a structured governance operating environment.
2. Acceptance of Terms
By subscribing to CIMSNEX or engaging Andy Systems services, you agree to these Terms.
3. License & Permitted Use
Andy Systems grants a limited, non-exclusive, non-transferable license to access and use CIMSNEX for internal organizational governance purposes.
Users may not:
- Reverse engineer the platform
- Resell access
- Attempt unauthorized system access
- Disrupt service integrity
4. Subscription & Fees
Access to CIMSNEX requires:
- One-time Infrastructure Enablement Fee
- Annual Subscription Fee
Fees are payable as invoiced.
Failure to pay may result in service suspension.
5. Data Responsibility
The subscribing organization is responsible for:
- Accuracy of input data
- Internal access control
- Coordinator designation
- Compliance with applicable laws
6. Intellectual Property
All platform design, workflows, system architecture, and materials remain the intellectual property of Andy Systems.
7. Service Availability
While we strive for continuous availability, CIMSNEX is provided on an “as available” basis.
Planned maintenance may occur with reasonable notice.
8. Limitation of Liability
Andy Systems’ total liability shall not exceed the subscription fees paid in the preceding 12 months.
We are not liable for indirect or consequential damages.
9. Termination
Subscriptions renew annually unless terminated in writing.
Termination terms are governed by the Service Agreement.
10. Governing Law
These Terms are governed by the laws of the Republic of Uganda.
