Terms and Conditions for Andy Systems and CIMSnex Cloud Software

Please read these Terms and Conditions ("Terms") carefully before using the services provided by Andy Systems and subscribing to CIMSnex Cloud Software ("CIMSnex").

1. Acceptance of Terms

1.1 By accessing and using the services provided by Andy Systems and subscribing to CIMSnex, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the services.

2. Use of Services

2.1 You may use the services provided by Andy Systems and CIMSnex solely for your internal business purposes and in compliance with applicable laws and regulations.

2.2 You are responsible for maintaining the confidentiality and security of your account credentials and for any activities that occur under your account.

2.3 You may not use the services in any manner that could disable, overburden, or impair the functionality of the software or interfere with other users' use of the services.

2.4 You may not attempt to gain unauthorized access to any part of the services or any other systems or networks connected to the services.

3. Intellectual Property

3.1 The services provided by Andy Systems and CIMSnex, including but not limited to the software, website, and all related content, are protected by intellectual property laws and are owned by Andy Systems or its licensors.

3.2 You are granted a limited, non-exclusive, non-transferable license to use the services solely for your internal business purposes. You may not modify, reproduce, distribute, or create derivative works based on the services without prior written consent from Andy Systems.

4. Subscription and Fees

4.1 To access CIMSnex, you must subscribe to a paid plan as outlined on the Andy Systems website or as agreed upon in a separate contract.

4.2 Subscription fees are payable in accordance with the selected plan and payment terms. Failure to pay the fees may result in the suspension or termination of your access to CIMSnex.

4.3 All fees are non-refundable, and you are responsible for any taxes or additional charges associated with your use of the services.

5. Data Privacy

5.1 Andy Systems will handle personal information and data in accordance with its Privacy Policy also based on ISO 27001 security standards. By using the services, you consent to the collection, use, and disclosure of your personal information and data as outlined in the Privacy Policy.

6. Disclaimer of Warranties

6.1 The services provided by Andy Systems and CIMSnex are provided on an "as is" and "as available" basis, without any warranties or representations, express or implied. Andy Systems disclaims all warranties, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

6.2 Andy Systems does not warrant that the services will be error-free, uninterrupted, or secure, or that any defects or errors will be corrected.

7. Limitation of Liability

7.1 In no event shall Andy Systems be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of the services, including but not limited to lost profits, loss of data, or business interruption.

7.2 Andy Systems' total liability, whether in contract, tort, or otherwise, shall not exceed the total amount paid by you for the services during the twelve (12) months preceding the claim.

8. Termination

8.1 You may terminate your subscription to CIMSnex at any time by providing written notice to Andy Systems. No refunds or credits will be provided for early termination.

8.2 Andy Systems may terminate your access to the services at any time for any reason, including but not limited to violation of these Terms.

9. Governing Law

9.1 These Terms shall be governed by and construed in accordance with the laws of the Republic of Uganda. Any disputes arising out of or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of the Republic of Uganda.

10. Severability

10.1 If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

11. Entire Agreement

11.1 These Terms constitute the entire agreement between you and Andy Systems regarding the services and supersede all prior or contemporaneous agreements, communications, and proposals, whether oral or written.
